Provisional Measures on Management of South University of Science and Technology of China

 (Decree No. 231 of Shenzhen Municipal People’s Government)

Chapter One General Provisions

Article 1 In order to innovate and regulate the management and operation of South University of Science and Technology of China (hereinafter referred to as “SUSTC”), guarantee the autonomy of university education, these Measures are formulated in accordance with Higher Education Law of the People's Republic of China and other relevant laws and regulations.

Article 2 SUSTC is a public regular institution of higher education established by Shenzhen Municipal People’s Government (hereinafter referred to as “municipal government”) in accordance with law.

Article 3 SUSTC is an independent legal entity. SUSTC runs and manages the education independently according to law and accepts the supervision of government and society.

Article 4 SUSTC carries out the national education polices comprehensively, focuses on the training of innovative talents, serves for the local and national development via the knowledge innovation and technological innovation, explores to establish a modern university institution with Chinese characteristics, and aims to build an international renowned high-level research-oriented university.

Article 5 SUSTC adheres to the university spirits of pursuit of excellence, academic freedom and scholar self-discipline, follows the principles of board governance, professors’ academic management and academic autonomy, and cultivates and exerts the due vitality and creativity.  SUSTC carries out the headmaster management system under the leadership of the party committee and the management is rendered in accordance with these Measures and constitution of SUCTC.

Chapter Tow Rights and Obligations

Article 6 SUSTC shall exercise rights and fulfill obligations in accordance with law and bears civil liabilities independently. SUSTC shall not be interfered by any other organizations or individuals unless it is for any reasons provided by law, regulations or these Measures.

Article 7 SUSTC manages and uses the following property in accordance with law:

(1) the property provided by the municipal government;

(2) legitimate income, which includes the tuition fee;

(3) all kinds of funds and donations, which includes financial subsidy;

(4) any other properties which are lawfully obtained.

Article 8 SUSTC sets up the teaching, scientific research, administration and other internal agencies according to its actual needs and the principle of simplicity and efficiency.

SUSTC sets up subsidiary agencies in accordance with laws, regulations and these Measures. However, if SUSTC holds an institution with independent legal entity, it shall submit the matter to the municipal organization staffing department for approval.

SUSTC may set up consulting and advisory agencies, which serve the university.

Article 9 SUSTC determines the total number of staff within the scope of the staffing standard determined by the municipal organization staffing department; if the total number of staff would exceed the scope of the staffing standard due to work needs, SUSTC should submit the matter to the municipal organization staffing department for approval.

According to the actual situation and its own characteristics, SUSTC may formulate human resource management systems of position management, staff employment, compensation, occupational pension and etc.

SUSTC may hire teaching and administrative staff within the total number of staff in accordance with law.

Article 10 Focusing on cultivating the creative talents, SUSTC sets up and adjusts the branches of learning and specialized subjects, and conducts teaching, scientific research and social services in accordance with law.

SUSTC practices full-time education for degrees mainly. The main subjects are the subjects of science and engineering, combining with the part characteristic subjects of humanities and management, and actively developing interdisciplinary and emerging subjects which are needed by national and regional development.

SUSTC makes teaching plans, selects and compiles the teaching materials, organizes and conducts teaching activities according to the teaching needs.

Article 11 SUSTC shall make enrollment plans according to the social needs, school-running conditions and the relevant national provisions, and explore the independent enrollment according to law and the principle of science, openness and prioritizing.

Article 12 SUSTC shall charge the students for fees according to the relevant provisions, and formulate the systems of reducing or exempting the fees, which shall be public to the society.

Article 13 SUSTC communicates and corporates with the high-level universities and research institutions at home and abroad in the field of science and technology according to its own school-running needs.

SUSTC is encouraged to collaborate with enterprises, institutions, social groups, and other social organizations in the field of personnel training, scientific research, technology development and promotion and etc.

Chapter Three Governance Structure

Article 14 SUSTC shall set up the council, principal, University Affairs Committee and University Academic Committee, and sets up the necessary academic units, administrative units and other necessary organizations, and conduct actives in accordance with these Measures and Constitution of SUSTC.

Article 15 The council shall be composed of government representatives, the principal, the representatives of management team, teaching and administrative staff, social celebrities and etc. There shall be president and vice-president in the council. The mayor of Shenzhen or the one appointed by the mayor shall be the president. The members of the council shall be appointed by the municipal government.

Article 16 The council is the decision-making body of SUSTC, performs the following duties according to law and the provisions of these Measures and the Constitution of SUSTC:

(1) appointing or discharging the principal according to these Measures;

(2) appointing or discharging the vice-principal according to the propose of the principal;

(3) examining and approving the Constitution of SUSTC or the revised draft of Constitution of SUSTC;

(4) examining and approving the university financial budgets and final reports;

(5) examining and approving mid-term and long-term development plans, annual work plan, annual work report of the university;

(6) examining and approving important systems such as the total number of staff, the human resource management of the university, etc;

(7) examining and approving the establishment, alternation or revocation of academic units and administrative units;

(8) examining and approving other important issues which concern the development of the university.

The item (3) of the preceding paragraph shall be submitted to the Ministry of Education for approval according to the provisions. The item (4) of the preceding paragraph shall be submitted to the municipal government for approval in accordance with the established procedure. The item (2), (5), (6), (7) of the preceding paragraph shall be filed to the relevant departments of the municipal government for the record.

Article 17 The council meeting shall be held at least twice a year. The council meetings shall be convened and presided over by the president. The president may convene the council meetings according to work requirements or written proposals submitted by no less than 3 members of the council. The president may appoint vice-president as an agent to convene and preside over the meeting.

The council meeting could be held only when more than 2/3 of the members of the council attend the meeting. when the council makes a resolution, it shall be adopted by more than the 2/3 members of the council who attend the meeting.

Article 18 The principal is the legal representative of SUSTC, he is in the overall charge of the teaching, scientific research and other administrative works, and he is responsible to the council, carries out the decisions made by the council , performs the other duties stipulated by laws, regulations and the Constitution of SUSTC.

Article 19 The council nominates the candidate of principal according to the recommendation of the Principal Selection Committee, the principal will be appointed after being examined and approved by the municipal government through the established procedure.

The Principal Selection Committee is composed of government representatives, representatives of teaching and administrative staff, student representatives, domestic and oversea higher education experts and social celebrities and other people. There shall be one chairperson in the committee, who is selected by the members thereof. The members are appointed by the council, among which the professors and the associate professors shall be no less than 1/2 of the members of the Principal Selection Committee. The Principal Selection Committee shall be automatically dissolved after it nominates the candidate of principal.

Article 20 Each term of the principal five years. When the term is expired, the principal may be reappointed with the council’s approval. If the principal has been appointed for more than two consecutive terms, the selection procedure shall be initiated and the appointment shall be decided by the council according to the relevant procedures.

If the principal is not competent or fails to perform his duties, and two-thirds of members of the council agree to make suggestion of removal him from his position, the suggestion of removal shall be submitted to the municipal government and be decided according to the established procedure.

Article 21 SUSTC may set up several positions of vice principals to assist the principal in handling the university affairs.

Vice principal shall be appointed by the council according to the principal’s nomination. After the principal retired, new vice principal shall be appointed by the council according to the new principal’s nomination.

Article 22 The University Affairs Committee is composed of the principal, the vice principals, the heads of academic and administrative units and the representatives of teaching and administrative staff; there shall be one president, the principal. When University Administration Committee reviews the matters related to students, the student representatives shall attend the meeting.

Article 23 The University Affairs Committee makes decisions on major issues of the teachings, scientific researches and administrative management, performs the following duties:

(1) examining Constitution of SUSTC or the revised draft thereof;

(2) examining the mid-term and long-term development plans, annual work plan and the draft of annual work report of the university;

(3) examining the drafts of the financial budget and final report of the university;

(4) examining and approving the material financial and asset disposal matters of the university;

(5) examining the drafts of important systems of the university such as the total number of staff, human resource management, etc;

(6) examining the establishment schemes of academic units, administrative units, and the appointment and removal of the persons in charge, which shall be handled in accordance with the procedures prescribed by the Constitution of SUSTC;

(7) examining and approving the drafts of the subjects and majors setup, teachings, research plans, enrollment plans, and other drafts submitted by the University Academic Committee;

(8) Other duties prescribed by the Constitution of SUSTC.

Any matters involving academy examined by the University Administration Committee shall be approved by the University Academic Committee in advance.

Article 24 The members of the University Academic Committee shall be determined through negotiations of the professoriate, where the number of the professor representatives who don’t hold any executive positions shall be no less than a half.

Article 25 The University Academic Committee is in charge of examining the teachings, scientific researches and other major academic matters, which shall perform the following duties:

(1) examining the academic development plans of the university;

(2) examining the setup schemes of subject and major, the schemes of teachings and scientific researches;

(3) examining the hiring, promotion and dismissal matters for teachers and supporting staff;

(4) organizing and evaluating the achievements of teaching and scientific research;

(5) examining other academic matters.

Article 26 SUSTC shall set up Academic Unit. The Academic Unit is in charge of the matters relating to the teachings and scientific researches within the university, and it implements self-management within the entrustment of the university. The head of the Academic Unit shall have a professorship.

Article 27 SUSTC shall set up Administrative Unit, which is in charge of the specific administrative affairs, and services for the teachings and scientific researches.

Article 28 SUSTC shall set up the Professoriate, which acts as an autonomous organization for professors of SUSTC for academic communication and scientific researches exchanging, and participating in university management, and is also responsible for determining members of the University Academic Committee through negotiation.

Article 29 SUSTC shall set up The Advisory Committee, which acts as the consultative agency of SUSTC and is responsible for making comments and suggestions on major issues of development of the university. The members of Advisory Committee are composed of well-known experts, scholars, senior management personnel, business people and etc inside and outside of the State, are engaged by the principal.

Chapter Four Teaching and Administrative Staff

Article 30 Teaching and administrative staff of SUSTC is subject to the employment system, shall be employed publicly from the society according to the principles of fairness, impartiality, and openness.

SUSTC shall enter into written contract with teaching and administrative staff, which specifies the rights and obligations of the parties, and SUSTC shall implement the contract management.

Article 31 SUSTC shall determine faculty compensation scheme reasonably according to the job requirements and referring to salary level status at the human resources market of higher education.

SUSTC may set up distinguished professor positions, for which agreement-based compensation system may be implemented.

Article 32 SUSTC shall establish and improve the performance appraisal system, and put the evaluation results as a basis for staff reappointment, dismissal, rewards and punishments, as well as determination of the remuneration.

Article 33 In accordance with relevant provisions of Shenzhen, SUSTC shall participate in the basic endowment, medical, work injury, unemployment, maternity and other social insurances for its employees, and establish occupational pension system.

Article 34 SUSTC shall set up Faculty Delegates' Congress, which is an important type of organization for staff to participate in the democratic management and supervision of the university. Faculty Delegates' Congress is responsible for electing representatives to attend the Council and the University Affairs Committee.

When the Council examines any matter involving vital interests of the teaching and administrative staff, the Council shall solicit opinions of the Faculty Delegates' Congress in advance.

Chapter Five Students

Article 35 SUSTC shall protect students’ legitimate rights and interests, provide them with the necessary facilities and conditions for learning, scientific researches, communication and cultural activities and sports, and manage the students in accordance with the principles of benefiting the cultivation of talents, enhancing the education effect, to highlight the development of students’ capability of independent innovation.

Students of SUSTC have university rolls. SUSTC shall implement credit education system and flexible educational system.

Article 36 SUSTC shall set up scholarship and assistantship, and encourage enterprises and institutions, social groups, and other social organizations and individuals to establish various forms of scholarships and assistantship in accordance with the relevant national provisions and provide the eligible students with rewards and funds.

Article 37 Students of SUSTC may organize student groups in accordance with laws.

Students of SUSTC may organize and establish the Student Union. The Student Union is a self-regulatory organization, where students handle their study, life and other matters related to their rights and interests, and which is responsible for electing the student representatives to participate in the University Affairs Committee.

SUSTC shall provide the necessary counseling and support to students for organizing student groups in accordance with laws.

Article 38 SUSTC shall establish the students’ appeal system to protect the students' rights and interests.

Chapter Six Administration and Supervision

Article 39 SUSTC shall establish a school funding system which mainly relies on financial allocation, and partially relies on the other channels of raising the funds.

The municipal government encourages the social capital to participate in running school, to form multi-channels of raising funds to running school.

Article 40 The municipal government shall put the expenditures of SUSTC which are examined and approved by the Council into government financial budgets. After being deliberated and approved by the standing committee of the Municipal People's Congress, the municipal finance department shall allocate the funds in full and in time.

Where the teaching, the scientific researches, the social service and other activities conducted by SUSTC fall into the scope of relevant special funds provided by the government, SUSTC may apply for such funds according to the relevant provisions of government.

Article 41 SUSTC may set up foundation according to the relevant provisions of the state, the province and Shenzhen, and accept the social donation which shall be used for the teaching and the scientific researches of the university.

Article 42 The benefit which SUSTC obtain through transferring intellectual property and other science and technology achievements, except the rewards granted to the scientific researchers according to the relevant provisions, shall be used to run the school.

Article 43 SUSTC shall establish scientific, standardized and open financial management system, improving the internal audit and internal control systems for funds using.

Article 44 The municipal audit department shall practice the audit supervision to SUSTC in accordance with laws.

Article 45 SUSTC shall submit the annual work report and the financial report examined and approved by the Council to the municipal government, make them open to the public and accept the supervision of the society.

Article 46 Where the members of the Council and teaching and administrative staff violate the laws and disciplines, they will be held responsible by the relevant departments according to the relevant regulations and the contracts.

Chapter Seven Supplementary Articles

Article 47 During the period of establishment of SUSTC, the rights and obligations of the preparatory organization shall be executed in accordance with the relevant provisions of these Measures on SUSTC.

Article 48 These Measures shall come into effect as of July 1st, 2011.
